Terms of Service

Last Updated: April 2026

1. About These Terms

These Terms of Service apply to services provided by Anna Myronova, a sole trader trading as Mirno Marketing (“Mirno Marketing”, “we”, “us” or “our”). By engaging our services or using this website, you agree to these Terms together with any specific terms set out in the relevant proposal, quotation, statement of work, invoice, or other written agreement.

2. Service Scope

Mirno Marketing provides digital growth marketing, paid media management, conversion optimisation, marketing strategy, automation, and related consulting services. The specific scope of services, deliverables, responsibilities, and any agreed exclusions will be set out in the relevant proposal, quotation, statement of work, or other written agreement with the client.

3. Client Responsibilities

To support effective delivery, clients are expected to provide the access, information, feedback, and approvals reasonably required to perform the agreed services.

  • Provide timely access to necessary platforms, accounts, assets, and information.
  • Review and approve deliverables within agreed or reasonable timeframes.
  • Ensure information supplied to Mirno Marketing is accurate and that the client has the necessary rights to provide any assets or materials.
  • Communicate material changes to strategy, requirements, or commercial priorities promptly.

4. Payment

Fees and payment terms will be set out in the relevant proposal, quotation, statement of work, or invoice. Unless otherwise agreed in writing, invoices must be paid by the due date shown on the invoice. Any advertising spend, software charges, platform fees, or other third-party costs will be handled as agreed with the client.

5. Service Delivery

The scope of services, deliverables, and expected delivery times will be agreed with the client in the relevant proposal, quotation, statement of work, or other written agreement. Delivery times may depend on the client providing required access, information, feedback, or approvals on time.

6. Cancellation and Termination

Either party may cancel or terminate services in accordance with the terms agreed for the relevant project or engagement. The client remains responsible for payment for work already completed and any costs or commitments already incurred up to the effective date of cancellation or termination.

7. Refunds

Refunds will be considered based on the amount of work already completed and any non-refundable costs or commitments already incurred. Where services have already been fully delivered, payments are generally non-refundable unless otherwise required by law or agreed in writing.

8. Results and Limitation of Liability

We aim to deliver strong commercial outcomes, but we do not guarantee specific financial, advertising, sales, lead-generation, or other business results. Performance can be affected by factors outside our control, including market conditions, advertising platforms, competition, client budgets, website performance, and client-side sales processes.

To the fullest extent permitted by law, Mirno Marketing will not be liable for indirect or consequential loss arising from the provision or use of our services.

9. Intellectual Property

Unless otherwise agreed in writing, Mirno Marketing retains the intellectual property rights in its pre-existing and proprietary methods, frameworks, processes, templates, and tools. Ownership or permitted use of client-specific deliverables will be governed by the relevant proposal, statement of work, or other written agreement.

10. Governing Law

These Terms are governed by the laws of England and Wales, and any disputes will be subject to the jurisdiction of the courts of England and Wales.
